Terms of Service
The terms governing your use of the NovoMCP platform.

Please read these Terms of Service ("Terms") carefully before using NovoMCP ("the Service"), a molecular intelligence platform operated by NovoQuantNexus ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Service" refers to the NovoMCP platform, including all tools, APIs, resources, MCP Apps, and enterprise connectors accessible at ai.novomcp.com.
- "User" refers to any individual or entity that accesses or uses the Service.
- "Organization" refers to the entity under which one or more Users are grouped for billing and access control.
- "API Key" refers to the unique authentication credential (prefixed
nmcp_) issued to a User. - "Credit" refers to the unit of value used to measure Service usage, where 1 credit = $1.00 USD.
- "Tools" refers to the molecular intelligence functions exposed via the Model Context Protocol (MCP).
2. Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent that you meet this requirement and have the legal authority to enter into these Terms on behalf of yourself or the Organization you represent.
The Service is currently invite-only. Access is granted at our sole discretion through admin-issued API keys.
3. Accounts and API Keys
3.1 Account Creation
Accounts are created by NovoMCP administrators. Each User receives an API key associated with an Organization. You are responsible for providing accurate account information.
3.2 API Key Security
Your API key is confidential. You are responsible for:
- Keeping your API key secure and not sharing it with unauthorized parties
- All activity that occurs under your API key
- Notifying us immediately at ari@novoquantnexus.com if you suspect unauthorized use
Important: API keys are shown once at creation and cannot be retrieved afterward. We store only a SHA-256 hash of your key. If lost, a new key must be issued.
3.3 Key Revocation
We reserve the right to revoke any API key at any time for violation of these Terms, suspected abuse, or for any other reason at our discretion.
4. Subscription Tiers and Credits
4.1 Tiers
The Service is offered across four subscription tiers, each with different tool access, credit allotments, and rate limits:

4.2 Credits
Each tool invocation consumes a defined number of credits based on its computational complexity. Credit costs range from 0 (status checks) to 100 (GPU-intensive structure prediction). The current credit menu is available in our documentation.
4.3 Credit Renewal
Included credits renew automatically on the 1st of each calendar month. Unused credits do not roll over. For paid tiers, usage beyond included credits incurs overage charges at the applicable rate. Free tier Users are blocked when credits are exhausted.
4.4 Shadow Billing
During the beta period, credit usage is tracked but not charged. Users can view their usage and the value they are receiving. We reserve the right to begin charging for usage upon reasonable advance notice.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service to design, synthesize, or facilitate the production of controlled substances, chemical weapons, or any substance intended to cause harm
- Circumvent rate limits, authentication, or access controls
- Share, resell, or sublicense your API key or access to the Service
- Use automated scripts to excessively or abusively call the Service beyond your tier limits
- Reverse-engineer, decompile, or attempt to extract source code from the Service
- Use the Service in any manner that could damage, disable, or impair its operation
- Misrepresent your identity, affiliation, or the purpose of your use
- Use the Service output as a substitute for professional medical, regulatory, or legal advice
Regulatory compliance: NovoMCP includes FAVES regulatory screening (DEA, FDA, CWC, EPA, EU REACH) as an informational tool. Detection of controlled substance scaffolds does not constitute a legal determination. Users are responsible for verifying compliance with applicable laws in their jurisdiction.
6. Intellectual Property
6.1 Our Property
The Service, including its software, algorithms, pre-computed molecular data, ADMET prediction models, FAVES compliance framework, MCP Apps, documentation, and all associated intellectual property, is owned by NovoQuantNexus. Nothing in these Terms grants you ownership of any part of the Service.
6.2 Your Data
You retain ownership of any molecular structures, queries, or data you submit to the Service. We do not claim ownership of your input data. As described in our Privacy Policy, query data is processed in memory and not persistently stored.
6.3 Output Data
Results returned by the Service (molecular profiles, ADMET predictions, compliance assessments, literature search results) may be used by you for your research and business purposes. You may not represent Service outputs as your own proprietary technology or resell raw Service outputs as a competing product.
6.4 Third-Party Data
The Service incorporates data from public sources including PubChem, ChEMBL, ClinicalTrials.gov, bioRxiv, medRxiv, and USPTO. Use of this data is subject to the respective terms of each source.
7. Enterprise Connectors
The Service provides enterprise data export capabilities through 11 connector adapters. When using enterprise connectors:
- You are responsible for ensuring you have authorization to write data to your target systems (Snowflake, BigQuery, Salesforce, etc.)
- Connector credentials are stored in Azure Key Vault and never in our database
- Data consent may be required before first export to a new connector
- All export operations are logged for audit purposes
- We are not responsible for data written to your external systems
8. Disclaimers
8.1 Research Use Only
The Service is provided for research and informational purposes only. ADMET predictions, toxicity assessments, compliance screenings, and all other outputs are computational estimates and do not constitute medical, pharmaceutical, regulatory, or legal advice.
8.2 No Warranty
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
8.3 Prediction Accuracy
While our molecular database contains 122M+ pre-computed compounds and our ML models are trained on validated datasets, we do not guarantee the accuracy, completeness, or reliability of any prediction or assessment. Users should independently validate all results before making decisions based on Service outputs.
8.4 Service Availability
We do not guarantee uninterrupted or error-free access to the Service. We may perform maintenance, updates, or modifications at any time. We will make reasonable efforts to provide advance notice of planned downtime.
9. Limitation of Liability
To the maximum extent permitted by law, NovoQuantNexus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, data, or business opportunities
- Costs of procurement of substitute services
- Damages arising from reliance on Service outputs in drug development, regulatory submissions, or clinical decisions
- Damages arising from unauthorized access to your account
Our total aggregate liability for any claims arising from your use of the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
10. Indemnification
You agree to indemnify and hold harmless NovoQuantNexus, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any data you export through enterprise connectors to third-party systems
11. Termination
11.1 By You
You may stop using the Service at any time. To close your account and revoke your API key, contact us at ari@novoquantnexus.com.
11.2 By Us
We may suspend or terminate your access at any time, with or without cause, including for:
- Violation of these Terms or our Acceptable Use policy
- Suspected fraudulent or abusive activity
- Non-payment of applicable fees
- Extended period of inactivity
11.3 Effect of Termination
Upon termination, your API key will be revoked and access to the Service will cease. Sections regarding intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.
12. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated via:
- Email to the address associated with your API key
- Notice on the NovoMCP documentation site
Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service.
13. Modifications to the Service
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, including:
- Adding or removing tools
- Changing credit costs for tools
- Modifying subscription tier features or pricing
- Updating the molecular database or ML models
We will make reasonable efforts to provide advance notice of material changes that affect your use of the Service.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and NovoQuantNexus regarding the Service.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
15.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
15.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
