Terms of Service

The Service is offered to users who are at least 18 years old. By using the Service, you represent and warrant that you meet this age requirement. If you do not meet this requirement, you must stop using the Service immediately.

To access the Service, you may be asked to provide registration details to create a user account and will be issued authentication credentials: a Novo API Key (prefixed nmcp_) for discovery tools, and optionally a Novo Compute API Key (prefixed ncmcp_) for quantum chemistry, simulation, and docking tools. Both keys draw from a single shared credit balance. All personal data you provide is governed by our Privacy Policy. The information you provide must be accurate, complete, and current.

Your API key is confidential. You are responsible for keeping it secure and for all activity under your key. API keys are shown once at creation and cannot be retrieved afterward; we store only a SHA-256 hash. You agree not to provide any other person with access to the Service using your account or API key, and you accept full responsibility for any use of and activity on your account, whether authorized by you or not.

You agree to immediately notify us of any unauthorized access to or use of your account credentials or any other breach of security. We reserve the right to revoke any API key or suspend any account at any time.

NovoQuantNexus grants you a limited, revocable, non-sublicensable, non-transferable, and non-exclusive license to use and access the Service during the Term (as defined below), subject to your compliance with this Agreement. NovoQuantNexus reserves all rights not expressly granted to you under this Agreement.

The Service is subject to modification and change, including but not limited to the underlying algorithms, computational methods, machine learning models, tools, and features made available to you. Except as otherwise agreed in a separate written agreement between you and NovoQuantNexus (“Order”), no guarantees are made with respect to the Service’s quality, stability, uptime, or reliability, and we will not be liable if for any reason all or any part of the Service is unavailable at any time for any period.

The Service uses a credit-based pricing model (1 credit = $1.00 USD). Tool invocations consume credits based on computational complexity, ranging from 2 to 50 credits per call. Credits are pooled across both Novo and Novo Compute — a single balance regardless of which tools are used. Three tiers are available:

• Core — Pay-as-you-go. Purchase credit packs ($20 for 20 credits, $100 for 110 credits, $500 for 600 credits). All 43 tools included (Novo + Novo Compute). Core credits never expire.
• Team ($500/month) — 10,000 credits/month included, $0.10/credit overage. Adds Snowflake, Databricks, BigQuery, and Supabase connectors with bidirectional data pipelines. Unused monthly credits do not roll over.
• Enterprise (Custom) — Custom credit volumes, SSO/SAML, dedicated account manager, custom deployment options, audit logging with 21 CFR Part 11 compliance, and SLA guarantees.

A 7-day free trial with 250 credits is available to new users. No credit card is required. Free trial credits expire after 7 days. Access to Novo Compute tools (quantum chemistry, molecular dynamics, docking, and structure prediction) requires a paid tier (Core, Team, or Enterprise). If an organization downgrades to the free tier, Novo Compute access is revoked but no data is deleted.

As part of your use of the Service, you may upload, submit, transmit, or display molecular structures, SMILES strings, queries, data files, or other materials (“User Content”) for analysis and processing. You represent and warrant that you have all rights, licenses, and permissions needed to submit such User Content and the legal right and authority to grant NovoQuantNexus the license set forth herein.

You will not use the Service to transmit or submit any sensitive personal data, such as patient health information, birth dates, social security numbers, or financial information.

The Service is designed for research, development, and commercial drug discovery. You shall not:

(i) use the Service to design controlled substances, chemical weapons, or any compound intended to cause harm to human health or safety;

(ii) violate any applicable federal, state, local, national, or international laws or regulations;

(iii) reverse engineer, decompile, disassemble, modify, or create derivative works of the Service, or attempt to derive source code;

(iv) develop or offer competitive products or services using the Service, or engage in competitive analysis;

(v) circumvent rate limits, access controls, or security mechanisms;

(vi) share, resell, or redistribute API keys or access to the Service;

(vii) allow multiple users to use a single account or API key;

(viii) introduce any virus, Trojan horse, malware, or other malicious code through the Service; or

(ix) use outputs as a substitute for professional medical, regulatory, or legal advice.

FAVES regulatory screening and all computational chemistry outputs (including pKa predictions, solubility estimates, bond dissociation energies, docking scores, strain energies, quantum chemistry calculations, and conformer rankings) are informational tools. Users are responsible for experimental validation and for verifying compliance with applicable laws before use in regulatory submissions, clinical decisions, or patient-facing applications.

You will comply with all applicable trade laws, including sanctions and export control laws. The Service may not be used in or for the benefit of, or exported or re-exported to (a) any countries where export from the United States or into the country is prohibited or illegal without first obtaining the applicable license, or (b) any individual or entity with whom dealings are prohibited or restricted under applicable trade laws.

NovoQuantNexus owns all right, title, and interest in and to the Service, including the NovoMCP platform, NovoWorkbench desktop application, all software, algorithms, pre-computed molecular data, ADMET prediction models, FAVES compliance framework, MCP tool implementations, neural network potentials, quantum chemistry pipelines, documentation, and all associated intellectual property. Any trademarks, service marks, copyrighted works, patents, know-how, and trade secrets appearing in the Service are the property of NovoQuantNexus or its licensors.

You retain all right, title, and interest in your User Content. By using the Service and submitting User Content, you grant NovoQuantNexus a limited, worldwide, non-exclusive, royalty-free license to process submitted molecular data solely for the purpose of providing the Service to you. Query data is processed in memory and not persistently stored beyond the duration of the computation.

Results generated by the Service may be used for your research and business purposes without restriction. You may not resell raw outputs as a competing product or service.

NovoQuantNexus will request your permission before using your name, logo, or trademarks in any marketing materials, website, press releases, customer lists, or case studies to identify you as a customer of the Service.

If your use of the Service contributes to or results in a scientific, academic, or research publication, you agree to provide appropriate acknowledgement by citing NovoQuantNexus in accordance with any citation guidelines we may provide.

NovoQuantNexus warrants that the Service will perform substantially as described in standard documentation and will not materially decrease overall functionality during the applicable term. Our sole obligation for any breach of this warranty will be to use commercially reasonable efforts to repair or replace the affected functionality.

Except as expressly set forth above, the Service is provided “as-is” and “as-available” without warranty of any kind, either express or implied. NovoQuantNexus does not make any warranty or representations with respect to the completeness, security, reliability, quality, accuracy, or availability of the Service.

Without limiting the foregoing, NovoQuantNexus does not represent or warrant that the Service or content generated by the Service will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, or that the Service will otherwise meet your needs or expectations.

All computational chemistry results, including but not limited to pKa predictions, solubility estimates, bond dissociation energies, ADMET predictions, docking scores, strain energies, conformer rankings, molecular dynamics simulations, and regulatory compliance screenings, are computational estimates provided for research and informational purposes only. They do not constitute professional medical, regulatory, or legal advice and should be validated experimentally before use in regulatory submissions or clinical decisions.

NovoQuantNexus hereby disclaims all warranties of any kind, whether express or implied, statutory or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for a particular purpose.

This Agreement will be governed by the laws of the State of Delaware, United States, excluding its conflicts of law rules. Except as provided in the dispute resolution section above, all claims arising out of or relating to this Agreement will be brought exclusively in the federal or state courts of New Castle County, Delaware.

No waiver by us of any term or condition shall be deemed a further or continuing waiver of such term or any other term. If any provision of this Agreement is deemed invalid or unenforceable, that provision will be limited or severed to the extent necessary so that the Agreement will otherwise remain in full force and effect.

You may not assign or transfer this Agreement without our prior written consent. Any attempt to do so without consent will be null and void. NovoQuantNexus may assign, transfer, delegate, or sublicense this Agreement at our sole discretion without restriction. Subject to the foregoing, the Agreement will bind and inure to the benefit of the parties, their successors, and permitted assigns.

NovoQuantNexus reserves the right to update, modify, or discontinue tools, models, computational methods, features, and other aspects of the Service at any time without prior notice. We will make reasonable efforts to communicate material changes that may affect your workflows.

This Agreement contains the entire agreement between you and NovoQuantNexus regarding the Service and supersedes any prior or contemporaneous agreements.
